Eligibility

If you were a Participant in the Plan on December 31, 2011, you will continue to be a Participant in the Plan until the time described in "End of Participation," below.  If you were not a Participant in the Plan on December 31, 2011, you are not eligible to become a Participant in the Plan.  

In order to have been a Participant in the Plan on December 31, 2011, you must have satisfied all of the Plan's eligibility requirements, including completing 365 days of service, on or before December 1, 2011.

  

Participation

Prior to January 1, 2012, you were considered an "active Participant" as long as you continued to meet the Plan's eligibility requirements.  If, however, you ceased to meet these eligibility requirements (for example, you were transferred to an affiliate of the Company that is not a Participating Employer) but remained an Employee of the Company or one of its affiliates, you were treated as an "inactive Participant."  If you were vested when you terminated from the Company and its affiliates, you were considered a "terminated vested Participant" until your participation terminated, as described below.  However, as of January 1, 2012, for as long as your employment with the Company and its affiliates continues, you will be considered an "inactive Participant" rather than an "active Participant."

If you are an inactive Participant or terminated vested Participant, you will not earn any additional benefits under the Plan (other than Interest Credits), although you will continue to be treated as a Participant in the Plan.  

Please note, if you are an Employee of Toshiba America Information Systems, Inc., you were not eligible to first become, or again become, a Participant on or after January 1, 2011. 

  

End Of Participation

If you were a Participant in the Plan as of December 31, 2011, you will remain a Participant in the Plan until the earlier of the date:

  • You receive a complete distribution of your vested Plan benefits; or
  • You terminate employment with the Company and its affiliates without being vested in any of your Plan benefit. 

  

Definition Of Day Of Service

In general, you will be credited with a day of service for each day on and after the date you are hired by the Company or an affiliate of the Company and ending on the date that you terminate employment. However, if you terminate employment for reasons other than your quitting, discharge, death, or retirement, you may be credited, as required by applicable law, with days of service for an additional period of time up to one year. Also, if you return to employment within one year after your termination, you will be credited with days of service for your period of absence as if it were a period of employment.
